Terms of Service

By accessing or using kodiipay, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. We may update these terms at any time — continued use after changes take effect means you accept the new terms. You are responsible for reviewing this page periodically.

• Platform — kodiipay's rent collection, property management and tenant communication system including mobile apps and website.
• User — any individual or legal entity that creates an account on the Platform.
• Landlord — a User who lists, manages and collects rent for rental properties.
• Tenant — a User who pays rent and occupies a rental unit listed on the Platform.
• Wallet — the digital balance held by a User for payments and withdrawals within kodiipay.
• Content — all data, text, images, documents and materials uploaded by Users.
• Services — all features offered by kodiipay including payment processing, property management tools, messaging, maintenance tracking.
• Transaction Fee — the percentage-based fee deducted per rent payment processed on the Platform.

You must be at least 18 years old to create an account. By registering you confirm that all information you provide is accurate, current and complete. You are solely responsible for keeping your login credentials confidential and for all activity that occurs under your account.

Accounts are non-transferable. Each User may maintain one account unless otherwise authorised in writing. kodiipay reserves the right to verify identity and request KYC documents at any time.

kodiipay offers both free and paid subscription plans for Landlords:

• Free Plan — includes a trial period with limited properties and units at no cost. After the trial, downgraded feature limits apply but no payment is required.
• Paid Plans — monthly or annual billing as selected during checkout. Fees are charged upfront via M-Pesa STK Push or wallet balance and are non-refundable except where required by law.

kodiipay charges a transaction fee on each rent payment processed through the Platform. The percentage is determined by the Landlord's active plan and is disclosed before purchase. We may change subscription fees with 30 days notice. Cancellation stops auto-renewal at the end of the current billing period.

Tenants use kodiipay free of charge. There is no subscription, signup fee or monthly cost for tenants. The only cost to tenants is the transaction fee applied to each rent payment, which is determined by the Landlord's plan and disclosed before every transaction.

Tenants agree to pay rent on time according to their lease agreement. Late or missed payments are handled between the Landlord and Tenant — kodiipay facilitates collection but does not act as a debt collector. Tenants must not use the Platform to harass landlords or submit fraudulent maintenance requests.

All rent payments flow through the kodiipay wallet system. Landlord wallets credit instantly on successful tenant payment. Withdrawals are processed to M-Pesa or bank transfer and may be subject to minimum withdrawal limits and KYC verification.

kodiipay uses third-party payment processors (Safaricom M-Pesa) and is not liable for delays or failures caused by those processors. Users are responsible for ensuring their payment details are correct. Incorrect transfers cannot be reversed by kodiipay once processed by the provider.

Wallet balances do not earn interest. Inactive wallets may incur maintenance fees after 12 months of inactivity. Funds in dormant accounts are remitted to the Unclaimed Financial Assets Authority as required by Kenyan law.

All usage is subject to fair use policies based on your plan. You agree not to:

• Use the Platform for fraud, money laundering or any illegal activity
• Reverse engineer, decompile or tamper with the Platform's software
• Scrape, crawl or extract data without written permission
• Interfere with other users' accounts or data
• Submit false or misleading information including fake KYC documents
• Use automated scripts or bots to interact with the Platform

kodiipay owns all rights to the Platform including its software, design, branding, logos and content. We grant you a limited, non-exclusive, non-transferable license to use the Services for your intended business purposes. You may not reproduce, distribute or create derivative works without our written consent. User-uploaded content remains the property of the User, but you grant kodiipay a license to store, process and display it as necessary to provide the Services.

To the fullest extent permitted by Kenyan law, kodiipay shall not be liable for any indirect, incidental, special, consequential or punitive damages including lost profits, data loss or business interruption. Our total liability for any claim arising from these terms is limited to the amount you have paid us in the twelve months preceding the claim. This limitation does not apply to liability for death, personal injury or fraud.

We may suspend or terminate your account for violating these terms, engaging in illegal activity, or if you pose a security risk to the Platform or other Users. You may terminate your account at any time from your settings. Account deletion is instant and irreversible — once confirmed, all account data and features are removed immediately. Transaction records required by Kenyan financial regulations are retained separately as required by law. There is no 90-day retention on deleted accounts.

kodiipay processes personal data in accordance with the Kenya Data Protection Act, 2019. We collect, store and process only the data necessary to provide our Services. We do not sell personal data to third parties. Data is stored on encrypted servers within Kenya. Users have the right to access, correct or delete their personal data by contacting us. Any disputes arising from these terms shall first be addressed through informal negotiation. If unresolved within 30 days, disputes shall be resolved by arbitration in Nairobi, Kenya, in accordance with the Nairobi Centre for International Arbitration Rules. The language of arbitration shall be English. Each party bears its own costs unless otherwise awarded. This clause does not prevent either party from seeking injunctive relief in court.

These terms are governed by the laws of the Republic of Kenya. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any legal action arising from these terms shall be brought exclusively in the courts of Nairobi, Kenya.

We may modify these terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Non-material changes (e.g. formatting, clarifications) take effect immediately. Your continued use after the effective date constitutes acceptance of the updated terms. If you do not agree, you must stop using the Platform.
